Thank you for choosing UMU products and services, which encompass the website umu.io, its associated online and mobile properties, software, and applications (collectively, the "Sites"), as well as all courses, software, products, and/or services available on the Sites (individually or collectively, the "Services"). The Services are provided by UMU LLC ("UMU"), with its principal place of business at 5441 S MACADAM AVE, SUITE N, PORTLAND, OR 97239, USA.
Your use of our Services constitutes acceptance of these terms. We urge you to read them thoroughly.
Using our Services
You are required to comply with all policies provided within the Services.
You shall not misuse our Services, including but not limited to interfering with our Services or attempting to access them through any means other than the authorized interface and instructions we provide. Your use of our Services must comply with all applicable laws, including export and re-export control laws and regulations. We reserve the right to suspend or terminate your access to our Services if you fail to comply with our terms or policies, or if we are investigating potential misconduct.
Use of our Services does not confer any intellectual property rights in the Services or accessed content. You may not utilize content from our Services without explicit permission from the rights holder or legal authorization. These terms do not convey any right to use trademarks, logos, or other branded elements featured in our Services. All legal notices displayed in or accompanying our Services must remain intact and unmodified.
Our Services may display third-party content for which UMU bears no responsibility. You are advised to verify the content provider's identity before engaging with or taking any permitted actions regarding such content. While we retain the right to review content for legal compliance or policy violations, and may remove or refuse to display content that we reasonably believe violates our policies or applicable law, we do not guarantee comprehensive content review.
We may deliver service announcements, administrative communications, and other information in connection with your use of the Services. You may have the option to opt out of certain communications.
For Services accessible via mobile devices, users must ensure their usage does not compromise compliance with traffic regulations or safety laws.
Your UMU Account
Access to certain Services may require a UMU Account, which you may either create independently or receive through an administrator (e.g., employer or educational institution). Accounts assigned by administrators may be subject to additional or different terms, and administrators may retain access and control privileges.
To maintain account security, you must protect your password confidentiality. You bear responsibility for all activities conducted through your UMU Account. We recommend against reusing your UMU Account password for third-party applications. Upon discovery of any unauthorized account access, you must promptly change your password.
Generative AI Services
Generative AI Services provided by UMU are part of UMU Services, referring to semantic understanding and content generation services based on AI Large Language Models, including but not limited to AI tools, Chatbot, and other services related to "AI" and "intelligence" included in UMU features and services.
When using UMU's Generative AI Services, please ensure that all provided content, input prompts, etc., are either content for which you own the intellectual property rights or have obtained legitimate authorization from rights holders. The content should not violate any applicable laws and regulations, infringe upon others' legitimate rights (including but not limited to copyright, patent rights, trademark rights, and other intellectual property rights and interests), or violate public order and good morals. Additionally, it should not induce AI services to generate content that infringes upon others' legitimate rights or violates public order and good morals.
You commit to complying with applicable laws and regulations while using UMU Generative AI Services. You shall not use this service for any illegal, immoral, improper, or infringing activities, or activities that violate this agreement. You shall not publish, input, output, or disseminate any content that violates this agreement, nor use this service to create, reproduce, publish, or spread false news or other false information. UMU reserves the right to stop generating, transmitting, blocking, or deleting relevant content, and may take measures including but not limited to warnings, restricting or prohibiting the use of some or all functions, blocking accounts up to cancellation, keeping relevant records, and reporting to relevant authorities, depending on the circumstances.
If you provide, publish, or distribute information content edited or produced using UMU Generative AI Services or its output content that legally requires identification, you shall ensure compliance with the identification obligations under applicable laws.
While UMU complies with applicable laws and regulations, respects social ethics and moral principles, and strives to improve the accuracy and reliability of output content, due to the nature of AI Large Language Model-generated content, the output content based on input information does not represent UMU's attitude or viewpoint. You should conduct necessary review and judgment of the output content and be responsible for the behavior and content under your account. UMU will not claim any rights to or assume any responsibility for the output content, nor will it bear any responsibility for your use of the service's output content or violations of this agreement. You acknowledge and agree not to hold UMU responsible for any inaccuracy or inapplicability of the output content.
You understand and agree that the output content is for reference only and should not be used as professional advice, for commercial purposes, or other purposes. In cases that may have significant impact on you or relevant parties (such as legal, medical, financial, insurance scenarios), it is recommended that you consult relevant authoritative institutions. You shall bear all consequences and responsibilities arising from any judgment made based on the output content or subsequent related operations, including risks arising from reliance on the output content's legality, accuracy, completeness, functionality, non-infringement, or fitness for a particular purpose.
Privacy and Copyright Protection
UMU's Privacy Policy details our personal data handling practices and privacy protection measures. By utilizing our Services, you consent to UMU's processing of your data as outlined in our Privacy Policy.
We address alleged copyright infringement notifications and terminate repeat infringer accounts in accordance with procedures established by applicable copyright protection laws and regulations.
Your Content in our Services
Certain Services enable you to upload, submit, store, send or receive content. You retain all intellectual property rights in such content that you legally possess.
By submitting content to or through our Services, you grant UMU a worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works (including but not limited to translations, adaptations or other modifications necessary for Service optimization), communicate, publish, publicly perform, publicly display and distribute such content. This license is granted solely for the purposes of operating, promoting, and improving existing Services and developing new ones. The license persists beyond the termination of your use of our Services. While certain Services may provide mechanisms to access and remove submitted content, it is your responsibility to ensure you possess sufficient rights to grant this license for any content submitted. However, the preceding provisions of this paragraph do not apply if you are a UMU customer, except where: (1) the content is designated as publicly available to other UMU users, or (2) alternative written agreements exist between you and UMU, or (3) UMU obtains explicit consent from your administrator.
For detailed information regarding UMU's content usage and storage practices, please refer to our Privacy Policy. Any feedback or suggestions you provide regarding our Services may be used at UMU's discretion without any obligation to you.
Service Fees
Any free trial or free features and services provided under this service should not be construed as UMU waiving its right to charge fees in the future. UMU reserves the right to notify you of fee standards and payment methods through announcements on the UMU official website and/or specific UMU service applications with 7 days' advance notice. If you continue to use relevant UMU services, you must pay the corresponding fees according to the fee standards published by UMU.
UMU reserves the right to adjust fee standards and payment methods with 7 days' advance notice through announcements without obtaining your prior consent. If you disagree with the adjusted fees, you should immediately stop using the service; continued use will be deemed as your acceptance and you shall pay fees according to the new standards.
You shall bear the internet costs that may arise from using this service, as well as other communication fees, information fees, etc. charged by third parties.
Unless otherwise agreed in writing between UMU and you, UMU's service fees are based on the services or content you purchase, rather than your actual usage. You shall fulfill payment obligations in a timely manner, and such payment obligations are irrevocable. After services or content are activated, fees you have paid are non-refundable. The quantity of services or content you purchase during the relevant subscription period cannot be reduced or unsubscribed.
About Software in our Services
Software required or included in our Services may automatically update on your device when new versions or features become available. Some Services may provide options to configure automatic update settings.
UMU grants you a personal, worldwide, royalty-free, non-transferable and non-exclusive license to use the software provided by UMU as part of the Services. This license is granted exclusively for enabling your use and enjoyment of the Services as provided by UMU, in accordance with these terms. Unless prohibited by law or authorized by UMU's written permission, you shall not copy, modify, distribute, sell, lease any portion of our Services or included software, nor reverse engineer or attempt to extract the source code of that software.
We acknowledge the significance of open source software. Certain software components in our Services may be offered under open source licenses, which will be made available to you. Where applicable, provisions in the open source license shall take precedence over these terms.
Modifying and Terminating our Services
Our Services undergo continuous evolution and improvement. We reserve the right to modify, add, or remove functionalities or features, and may suspend or discontinue any Service in its entirety.
While you may terminate your use of our Services at any time, UMU retains the right to cease providing Services to you, or implement new limitations on our Services at any time.
We recognize the importance of data ownership and access preservation. In the event of Service discontinuation, where technically and commercially feasible, we will provide reasonable advance notice and an opportunity to extract your data from the Service.
Our Warranties and Disclaimers
We provide our Services employing commercially reasonable skill and care with the intention of ensuring user satisfaction. However, certain aspects of our Services are provided without specific guarantees.
Except as expressly stated in these terms or additional terms, neither UMU nor its suppliers or distributors make any representations or warranties regarding the Services. This includes, without limitation, any warranties concerning the content within the Services, specific functionalities, reliability, availability, or suitability for particular purposes. The Services are provided on an "as is" and "as available" basis.
In jurisdictions where certain statutory warranties exist, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, such warranties are hereby excluded to the maximum extent permitted by applicable law.
Liability for our Services
To the maximum extent permitted by applicable law, UMU, and UMU's suppliers and distributors, shall not be liable for any lost profits, revenues, data, financial losses or indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by applicable law, the aggregate liability of UMU, and its suppliers and distributors, for any and all claims arising under these terms, including any implied warranties, shall be limited to the amount you paid to UMU for use of the Services (or, at UMU's sole discretion, the re-provision of the Services).
In all cases, UMU, and its suppliers and distributors, shall not be liable for any loss or damage that is not reasonably foreseeable at the time of entering into these terms.
We acknowledge that users in certain jurisdictions may have statutory rights as consumers. If you are using the Services for personal, non-commercial purposes, nothing in these terms or any additional terms shall limit any consumer legal rights that cannot be waived by contract under applicable law.
Business uses of our Services
If you are using our Services on behalf of a business entity, such entity hereby accepts these terms and shall hold harmless and indemnify UMU and its officers, directors, agents, and employees from and against any claim, suit or action arising from or related to the use of the Services or violation of these terms, including without limitation any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys' fees.
About these Terms
We reserve the right to modify these terms or any additional terms that apply to a Service, including but not limited to reflect changes in law or our Services. You shall review these terms periodically.
We shall post notices of material modifications to these terms on this page and notices of modified additional terms in the applicable Service. Notwithstanding the foregoing, changes addressing new features for a Service or changes made for legal reasons shall be effective immediately upon notice. If you do not agree to the modified terms for a Service, you must discontinue your use of that Service.
In the event of any conflict between these terms and the additional terms, the additional terms shall prevail with respect to that conflict.
These terms govern the relationship between UMU and you exclusively and do not create any third party beneficiary rights.
Any failure or delay by UMU to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
If any provision of these terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
The courts in certain jurisdictions may not apply the laws of the State of Oregon, USA to certain types of disputes. If you reside in such a jurisdiction where Oregon law is excluded from applying, your local law shall govern disputes related to these terms. Otherwise, you expressly agree that the laws of the State of Oregon, USA, shall govern any disputes arising out of or relating to these terms or the Services. Similarly, if the courts in your jurisdiction do not permit consent to the jurisdiction and venue of the courts in the State of Oregon, USA, then your local jurisdiction and venue shall apply to such disputes related to these terms. Otherwise, all claims arising out of or relating to these terms or the Services shall be litigated exclusively in the courts of the State of Oregon, USA, and you and UMU hereby consent to personal jurisdiction in those courts.
